This Ambassador Agreement (the "Agreement"), including any attached schedules or addenda, is entered into as of the date you accept or sign below (the "Effective Date"), between Youth Rituals (referred to as "Youth Rituals," "we," "us," or "our"), and you, the individual identified in your application or signup ("Ambassador" or "you"). Together, we are the "Parties."

In exchange for the mutual commitments outlined here, we agree as follows:

You agree to participate in our Ambassador Program by creating and sharing original, authentic content (such as photos, videos, stories, reels, posts, or written reviews—collectively, "Content") that highlights Youth Rituals' clean, science-meets formulas, intentional daily rituals, and the journey toward timeless inner & outer radiance. Content will be shared on your personal channels—including Instagram, TikTok, YouTube, Pinterest, blogs, newsletters, or other platforms that support affiliate links or codes (your "Channels")—to inspire genuine interest and drive qualifying purchases. In return, you may earn commissions and receive select perks (such as product gifting or exclusive access) based on performance tiers.

You commit to:

• Investing reasonable time, creativity, and care to deliver Content professionally and authentically.
  
• Following all relevant laws, platform rules, and our program guidelines.
  
• Choosing your own timing, style, and methods for creating and posting, using your own tools and resources (though we may occasionally supply brand assets like images, product info, or templates—"Youth Rituals Materials"—to support your efforts).
  
• Retaining full responsibility for editing and publishing your Content.
  

You are an independent contractor, not an employee, agent, or partner of Youth Rituals. You have no authority to bind us or speak on our behalf.

To protect our shared commitment to integrity and mindful beauty:

• No negative, misleading, or disparaging remarks about Youth Rituals or our offerings.
  
• No resale or commercial redistribution of products (including gifted items).
  
• No promotion through paid ads, search engine bidding on our brand terms (e.g., "Youth Rituals," youthrituals.com, or variations), or any adult-oriented, offensive, or inappropriate platforms.
  
• No fraudulent activity, such as self-purchases from your devices/IP, or sharing codes via AI bots, coupon aggregators, or unauthorized third parties.
  
• No claims beyond our official site language—focus on personal experiences, ritual benefits, and features like luxurious feel, elegant design, or nourishing effects.

We pay commissions on "Qualifying Purchases"—completed, paid orders from third-party customers using your unique affiliate link or code, within the 30-day attribution window, tracked via our Shopify-integrated system. "Net Sales" = actual retail amount received, minus taxes, shipping, duties, payment fees, store credit/gift card use, and refunds/returns (deducted from future payouts). Commission is 18%, on qualifying purchases based on your rolling 30-day sales performance.

If using your promo code (typically 10% off for first-time buyers, one-time use per customer), commission applies only to that initial qualifying order.

For subscription sign-ups via your link, commission is earned only on the first order in the series. Payouts occur monthly (around the 1st–15th) via PayPal (or future methods we adopt), with a minimum threshold if applicable. You handle your own Payment Processor account setup and tax obligations (we may request info for required forms). We may offer temporary bonuses, higher rates, or perks (product refills, exclusive items) based on performance or promotions. We reserve the right to withhold commissions from suspected fraudulent or non-permitted activity.

You agree to keep our non-public business details—such as strategies, customer insights, formulas, upcoming launches, or partner info—strictly private. Do not disclose or use them except to fulfill your role. Return or destroy materials upon request or program end.

You grant us a worldwide, royalty-free, perpetual license to use, share, and repurpose your Content on our channels, website, emails, or marketing (no extra payment beyond commissions).

We grant you a limited, revocable license to use our name, logo, and marks solely for promoting the program during your participation. All rights remain ours; no challenges, registrations, or confusingly similar uses allowed.

You confirm understanding and compliance with FTC Endorsement Guides (clear, conspicuous disclosures like "#ad," "Paid partnership with @youthrituals_com," or "Affiliate link—I may earn commission"). Use our required hashtags (e.g., #YouthRitualsPartner) and platform tools. All claims stay aligned with our site wording—no medical, disease-related, or unverified statements.

You represent that: you're 18+, legally able to participate; your Content is original and doesn't infringe rights; you'll act lawfully and professionally; statements reflect your true experiences.

You agree to protect Youth Rituals from claims, losses, or costs arising from your Content, breaches, or Services (including IP issues or non-compliant promotions).

This begins on acceptance and continues until ended by either party (with or without cause) via email or written notice. Immediate termination for material breach. Upon end (except breach), we pay outstanding commissions (net of returns). Surviving sections include compensation owed, IP, confidentiality, indemnity, etc.

No employment, agency, or partnership created.

To the fullest extent allowed, Youth Rituals isn't liable for indirect, consequential, or special damages related to this Agreement or program.

Governed by the laws of the State of Texas, with exclusive venue in Dallas County courts.

We may update this Agreement (notify via email/dashboard; changes effective promptly). If any part is invalid, the rest stands. No waivers unless written. This is the full agreement—no oral side deals. You can't assign without our consent; we can assign freely. Binding on successors.
